Legal Director & Company Secretary

Your tasks

Taking the lead on key business initiatives from a legal and governance perspective, GDPR / DPO, Product / Security Law, Holdings Contract Register, TOP 25 contracts, frame agreements, group wide legal frameworks around EV, and group-based supplier contracts.

Responsibility for KYC audits, Insurance selection in conjunction with the Finance function.

• The provision of a full and efficient Company Secretarial service, attending Board and Committee Meetings; ensuring best practice in terms of governance and documentation and satisfying the appropriate standards required.
• Responsible for the Company’s legal risk management, ensuring compliance is in line with EU and international legal and corporate governance standards and other statutory requirements.
• Be a partner to the CEO, supporting key business decisions and negotiations to achieve the best possible outcome for the Company.

The role requires someone who is adept at balancing Risk and commercialism and who can act as a true business enabler whilst understanding the associated Risk.

• Work closely with CEO, C-Suite, and Country Management on all above matters. Ensuring the delivery of high caliber legal and corporate governance support.
• The provision of expert legal advice and judgment delivered in a commercially appropriate way either directly and proactively through personal contributions and the in / house country teams or indirectly through external legal advisers.
• A demonstrated track record of leading the Compliance function of an international company and of successfully advising on Ethics and Compliance matters at senior levels.
• A current knowledge of existing and emerging legislation, standards, and regulations as well as ethics and compliance monitoring techniques.
• Work with the investors on refinancing and exit readiness.
• Accountable for selecting and procuring external Legal advisors and prudently managing, controlling, and reducing cost of legal services.
• Demonstrated experience in defense and maintenance of Intellectual Property (IP) and IC Standards

What you bring

• A demonstrated track record as Legal Director and Company Secretary and of successfully advising within a demanding and results-driven environment, PE experience is preferred.
• Whilst experience from contracts services / B2B and B2C industry will be beneficial, candidates from other relevant B2B organizations will be considered individuals who possess proven experience of operating in an international, dynamic environment.
• Direct, hands-on experience across a broad range of legal, governance and regulatory / risk issues,
• A demonstrable track record as Company Secretary and / or significant corporate governance experience are highly desirable.
• Direct international experience and awareness of the cultural nuances on pan European markets.
• A proven experience of assessing, enhancing, and developing a Legal function and framework to support a dynamic business.
• A proven and strong track record of selecting, managing, and interacting with external legal resources cost-effectively.
