Our Team:
The Corporate Finance team is responsible for capital structuring and transaction execution across Terra One’s battery storage portfolio. Our scope covers project finance (senior debt, mezzanine), HoldCo financing, M&A, equity raise, corporate liquidity, as well as reporting to investors and lenders. We work end-to-end with Development, EPC, Trading & Optimization, and Legal to turn projects into bankable assets, structure scalable financing platforms, and support strategic acquisitions.
You will be joining the corporate finance team of a clean energy tech company that works across the full investment lifecycle of BESS in Germany, with:
- A substantial pipeline of BESS projects in development, construction and operation
- An energy trading platform used to market its own energy and that of third parties
- Optimised processes through extensive use of AI
- Secured equity funding for the construction and operation of a strong BESS pipeline

We’re expanding our Corporate Finance capacity to support a growing pipeline. We are looking to
strengthen our team with a Corporate Finance Associate who will work across M&A, structured and project finance, equity raise, and investor and lender reporting, supporting transactions end to end, from origination and term sheet through due diligence and documentation to financial close, while helping build scalable processes for a growing pipeline in Germany and select EU markets.

Your Tasks:
M&A, structured finance and equity raise
- Work on the entire transaction process, internally and externally, until completion, executing
transaction structuring, valuation and due diligence for new and existing projects - Support debt financing processes from lender outreach and mandate through term sheet negotiation, documentation and financial close
- Build and maintain project finance models with lender and sponsor cases (IRR/NPV, DSCR, LLCR, gearing, covenants) and structured sensitivities
- Coordinate due diligence across technical, legal, insurance and other workstreams; manage data rooms, Q&A and red-flag resolution through to CP satisfaction
- Support documentation: facilities agreement, intercreditor, security package, direct agreements and hedging documentation; align commercial terms with EPC/O&M, warranties and LDs
- Work with the team’s VP and founders to drive the negotiation of contracts (share purchase
agreements, shareholders’ agreements, financing agreements, hedging agreements) - Coordinate relationships with internal stakeholders, external partners (developers, offtakers, lenders, technical, legal and EPC contractors) and advisors (legal, technical, tax, financial)
- Prepare marketing, credit and Investment Committee materials, and manage, approvals with responsibility for taking BESS projects towards financial close / final investment decision and ultimately operation
Investor and lender reporting
- Manage the company’s existing investments and loans, liaising with investors, lenders and internal teams to take projects successfully through development, construction and into operation
- Hand over cleanly to Asset Management with covenant and reporting requirements embedded
- Develop an in-depth understanding of the German BESS sector and of potential investors and lenders, to ensure a pipeline of future transactions
What is expected from you:
- You support multiple transaction and financing processes in parallel and communicate timelines, risks and decisions clearly to internal stakeholders, investors and lenders
- You convert technical and commercial inputs into bankable structures and explain the implications for leverage, covenants and pricing in a concise, decision-oriented way
- You challenge assumptions constructively, document your rationale, and maintain audit-ready models, trackers and data rooms
- You collaborate effectively with Development, EPC, Trading & Optimization, Legal and external advisors to resolve red flags and close on schedule
- You exercise sound judgment on disclosure, representations and warranties, and covenant packages, keeping long-term asset performance and compliance in view
Qualifications:
- A strong academic background with a relevant degree from a leading university
- 3–6 years of professional experience including deep exposure to European (ideally German) clean energy infrastructure projects — gained at a bank, financial investor, fund, advisory, utility, or developer/IPP
- Experience supporting transactions through diligence, documentation and CPs to financial close; familiarity with intercreditor and security structures
- The ability to build financial models is essential
- A strong commercial mindset and a deep understanding of the value drivers and risks of clean energy projects, including familiarity with transaction documentation and agreements relating to the development, construction and operation of assets
- Working knowledge of merchant and fixed revenue stacks and how they translate into lender and hedge requirements
- Familiarity with hedging/PPA constructs, insurance requirements, direct agreements and model audit practices
- Excellent quantitative and analytical skills, strong corporate finance knowledge, and a structured, project-oriented approach to your work
- Strong written and oral communication skills and excellent attention to detail
- German language skills are desirable; familiarity with German regulation and corporate law
(financing/documentation practice, security/perfection, notarial aspects) is a plus - BESS exposure (augmentation, warranties, performance guarantees) is a strong plus
