About our client

Our client is an independent European private equity firm focused on investing in B2B software and technology companies. The firm works closely with its portfolio companies across Europe, including Germany, supporting their development and growth. To support the effective governance and oversight of its German holding companies, the firm is seeking an experienced and independent managing director to take on formal management responsibilities at holding company level.

The mandate will focus on financial oversight, tax and corporate compliance, risk management and corporate governance. Working closely with external advisors and relevant stakeholders, the successful candidate will ensure that the holding companies fulfil their statutory obligations, maintain appropriate financial oversight and operate in accordance with applicable German legal and regulatory requirements.

This is a non-operational, part-time mandate that can be combined with other professional commitments, including executive responsibilities, board mandates or advisory activities. The scope offers the opportunity to take on several directorships while maintaining other professional engagements. What the job involves

  • Assume the role of managing director for several German holding companies, taking on the associated formal responsibilities and signing authority
  • Review and challenge annual financial statements and financial results, ensuring appropriate financial oversight at holding company level
  • Monitor financial developments and follow up on material issues, open points and required actions with management and external advisors
  • Oversee tax-related matters in coordination with external tax advisors, ensuring that relevant questions are addressed appropriately and in a timely manner
  • Review, approve and sign corporate documents, including shareholder resolutions, statutory filings and relevant agreements
  • Ensure that corporate decisions are appropriately documented and taken in accordance with the articles of association and applicable German law
  • Act as a key point of contact for external auditors, tax advisors, legal advisors, notaries and relevant authorities on holding company matters
  • Monitor compliance with applicable German tax, accounting and corporate requirements, ensuring that appropriate processes and controls are in place
  • Assess and monitor relevant risks at holding company level, exercising independent judgment where decisions, claims or other material matters arise
  • Maintain the necessary independence from the investment firm and its portfolio companies, ensuring that potential conflicts of interest are appropriately identified and managed

Who we are looking for

  • Proven professional experience in finance, accounting, audit, tax, risk management or portfolio management, ideally gained in a senior position
  • A strong understanding of financial statements, financial oversight and corporate governance, with the ability to review financial information critically and identify material issues
  • Familiarity with German corporate and tax requirements, ideally supported by relevant practical experience; alternatively, the ability to work effectively with local legal, tax and accounting advisors
  • Experience dealing with auditors, tax advisors, legal advisors or other external stakeholders on financial, tax or corporate matters
  • The ability and willingness to assume formal managing director responsibilities, including signing authority and the associated duties and liabilities
  • Demonstrated independence of judgment, sound professional discretion and the ability to act objectively in the interests of the relevant holding companies
  • A structured, diligent and pragmatic working style, with the ability to manage several mandates and follow up on outstanding matters reliably
  • Excellent communication skills and fluency in German and English
