Your tasks
- You establish and maintain robust governance frameworks for each SPV in line with shareholder agreements, regulatory requirements, and corporate policies
- You ensure strict adherence to corporate policies and processes, financing covenants and governance standards by continuously monitoring compliance and implementing corrective measures where required
- You maintain centralized, comprehensive and auditable repositories for all SPV-related documentation, including contracts, resolutions, reports and compliance records
- You prepare, review and monitor annual budgets, forecasts and business plans, ensuring alignment with shareholder expectations
- You oversee financial and operational reporting cycles by ensuring timely and accurate reporting to management, shareholders and auditors
- You act as the key liaison between internal teams (Finance, Legal, Operations, Development) and external stakeholders (co-investors, auditors, advisors)
- You lead and support due diligence, acquisition, divestment and restructuring processes, ensuring appropriate governance and compliance throughout
- You coordinate capital transactions, shareholder onboarding and negotiation of key contractual arrangements related to SPV activities
- You support the integration of new assets or SPVs into the portfolio and oversee governance during development, construction and operational phases
- You monitor ESG and EU Taxonomy compliance, track sustainability metrics and ensure SPV performance aligns with corporate strategy and risk management principles
Your profile
You hold a Master’s Degree in Business Administration, Finance, Law, Energy Management or a related fieldYou have a minimum of 5 years of experience in :Participation or joint venture management within renewable energy, utilities, infrastructure or corporate financeCorporate governance, compliance or entity managementFinancial planning, budgeting, or investment control within SPV or holding structuresYou demonstrate proven exposure to :Board- and shareholder-level communication, coordination and documentationPreparation of statutory, regulatory and management reportsMultidisciplinary collaboration, particularly with legal, accounting and project teamsRegulatory filings, internal audits and performance reviewsTransaction structuring, due diligence processes and contract negotiationsESG reporting, EU Taxonomy alignment or sustainability performance trackingYou have excellent verbal and written communication skills in English, French and German.What we offer
