Project Lawyer – Corporate & Legal Operations (all genders)

• Corporate legal support and coordination for a group of more than 50 legal entities in Germany and abroad, including subsidiaries, joint ventures and inter­national affiliates
• Preparation, coordination and docu­mentation of corporate measures such as share­holder resolutions, amendments to articles of association, managing director appointments and dismissals, commercial register filings and capital measures
• Administrative and project-based support of national and cross-border restructurings, mergers, spin-offs and trans­formations
• Support of M&A transactions with a focus on legal entity overviews, docu­mentation, timelines and coordi­nation with internal stake­holders and external advisors
• Drafting, administration and maintenance of intra-group agreements (e.g. profit and loss transfer agree­ments, domination agree­ments, intra-group loan and financing agree­ments) in cooperation with internal and external legal experts
• Corporate governance and compliance support, including corporate house­keeping, maintenance of share­holder lists, corporate records and audit-ready docu­mentation
• Administrative support of the full legal entity lifecycle, including formations, structural changes and entity closures or wind-downs
• Project management and coordination of corporate restructuring initiatives and inter­national corporate projects
• Close cooperation with internal interfaces (legal, finance, tax, management) as well as external counsel, notaries and authorities
• Strong legal background acquired through business law studies, a German law degree (e.g. first state exam or diploma-level jurist) or a comparable legal education; being a fully qualified lawyer is an advantage but not a requirement
• Several years of professional experience in corporate legal processes, ideally within inter­national companies with complex legal entity structures or in corporate legal, legal operations or corporate governance functions
• Solid understanding of German corporate law (GmbH / AG); knowledge of trans­formation law (Umwandlungsrecht) and cross-border structures is a plus
• Practical experience in legal entity manage­ment, corporate house­keeping and transaction-related coordi­nation
• Ability to understand legal content and translate it into structured processes, clear docu­mentation and reliable execution
• Fluent German and English skills, written and spoken
• Strong organizational and project manage­ment skills combined with a hands-on, imple­mentation-oriented mindset
• High level of independence, reliability and attention to detail
• Professional, discreet and calm handling of sensitive and sometimes emotionally charged corporate processes
