Corporate Officer
My client is looking for a corporate officer to join his team.
Your responsabilities :
- You'll maintain strong client relationships by following up on requests, participating in meetings, and providing ongoing corporate-secretarial services.
- Oversee the setup and structuring of new companies, ensuring compliance with Luxembourg's legal and regulatory frameworks.
- Manage the organization of board meetings, draft resolutions, and maintain accurate records of minutes and legal documents.
- Ensure that all corporate entities comply with local and international regulations, including AML (Anti-Money Laundering) and KYC (Know Your Customer) obligations.
- Prepare and review legal documents, such as shareholder agreements, articles of association, and other corporate governance documents.
- Communicate with Luxembourg authorities, such as the RCS, to ensure timely submission of documents and compliance with filing requirements.
- Assist in the execution and documentation of financial transactions, including capital increases, distributions, and restructuring.
- Provide regular reports to senior management and clients on the status of corporate entities, including financial health and regulatory compliance.
Your profile :
- You bring a minimum of 2 years of experience in a role focused on corporate administration, legal support, or a similar function within Luxembourg.
- You possess strong expertise in Luxembourg's corporate legal framework.
- You are proficient in MS Office applications.
- You are a collaborative team member with a proven ability to establish connections at all organizational levels.
- You are fluent in both English and German, with French language skills being advantageous.
