M&A Claim Management (CLM) is responsible for dealing with Siemens’ post-closing contractual rights and obligations in all global M&A transactions, such as claims, earn-outs and other post-closing separation topics.
In addition, CLM drives and is responsible for compliance due diligence in proposed M&A deals
What part will you play?
In your new role, you will be responsible for following up on open issues from M&A contracts.
You will provide feedback to the legal department, negotiation teams and operating units on lessons learned.
You will monitor adherence to material conditions in M&A contracts, including purchase price adjustment rules, representations and warranties, non-compete clauses, etc.
Within leading negotiations, you assert Siemens' claims and reject unjustified claims of the contractual partners.
You will provide support in expert, arbitration and court proceedings.
You will be responsible for managing all opportunities and risks relating to an M&A contract, including all mandatory reporting.
You will operate as CoC for M&A closing matters, particularly regarding the contract, risk, and claim management.
You will conduct compliance checks / compliance due diligence, including data room screening and expert meetings concerning potential targets, buyers, outsourcing business units and JV partners.
You will support advising, negotiating and implementing strategic alliances related to M&A transactions.
You will assist in the evaluation, defense and negotiation of non-compete regulations.
What you need to make real what matters.
The basis for your success is a university degree in the field of Business Studies, Law or comparable.
You bring many (min. 5) years of experience in international business and project management / project controlling experience and profound negotiation experience.
You are trained and / or experienced in dealing with legal matters, understanding legal terms, and / or processing claims and indemnities from contracts and assessing the commercial implications of such contracts and matters
in the context of M&A.
You are experienced in leading teams of internal, external professionals to deliver results and solve complex problems.
You stand out due to your ability to analyze, creativity, and focus on results.
You have excellent MS Office (Excel, Powerpoint) skills and can communicate complex problems by way of concise presentations for management to understand decision-relevant facts and make decisions.
Excellent English skills complete your profile and German skills are a plus.
